1. Agreement

These Terms govern your use of Viridel (web, desktop, and mobile). By using Viridel you agree to them, the Privacy Policy, the Acceptable Use Policy, and the Refund Policy. If you do not agree, do not use the service.

2. Eligibility

You must be at least 13 years old (16 in the EEA/UK), have the legal capacity to enter into a contract, and not be located in a country subject to comprehensive sanctions. You may use local-only features without an account. Google sign-in is required for purchases, license unlock, and Viridel Plus. If you accept on behalf of an entity, you represent that you have authority to bind it.

3. Accounts

Sign-in uses Google OAuth only. You are responsible for activity under your Google account. Keep your Google account secure. Notify us promptly of unauthorised access. We may refuse or reclaim usernames that impersonate others or violate law.

4. Plans & Licenses

Prices in this table are current as of the Last updated date. The amounts shown at checkout and on the Pricing page control if they differ. We may change future prices with notice for subscriptions; Lifetime purchases already completed keep their license terms.

The Lifetime license is permanently tied to the Google account used at purchase and cannot be transferred to another person. It does not guarantee eternal compatibility with every future OS, device, or store policy. If you lose access to that Google account, contact support with proof of purchase and we will make reasonable efforts to help you re-associate the license.

The free web app is offered without charge so you can evaluate the product. We may change free-tier features with notice; "free" is not a warranty that every feature will remain identical forever. Local-first design means your local data remains on your device even if the free web feature set evolves.

5. Payment, Billing & Cancellation

• Merchant of Record: all payments are processed by Dodo Payments, who collect applicable tax and issue receipts. Viridel never sees your card details.
• All sales final: Lifetime and Viridel Plus fees are non-refundable except for proven duplicate or incorrect charges. The full web app is free forever so you can evaluate every feature before buying. See the Refund Policy for the complete rules.
• Viridel Plus: billed monthly in advance, auto-renews until cancelled; cancel anytime and sync remains active until the end of the paid period (no prorated cash refund).
• Failed payments: a 14-day grace period with retries; after that, cloud sync is suspended. Your Lifetime license and local data are never affected.
• Price changes: at least 30 days' notice by email before any change to your active subscription. Completed Lifetime purchases keep their license terms. Optional Plus sync retention is uncapped while your Plus subscription remains active.
• Chargebacks: contact support first for billing errors. A chargeback is not a refund under the Refund Policy; filing one may suspend license verification or Plus until the dispute is resolved.

6. Acceptable Use

You must follow the Acceptable Use Policy. Do not reverse-engineer beyond what law allows, resell credentials, store illegal content, access another user's data, or scrape the service for commercial resale.

7. Ownership

Viridel and its software, branding, and documentation remain owned by the proprietor. These Terms grant a limited license to use the product — not ownership of the code or brand.

8. Your Data

You own your data. You grant Viridel a limited license to host and process it solely to operate the service — never to sell it, use it for advertising, or train AI models on it. You can export all your data as JSON and CSV at any time; you are never locked in.

Local-First Data Responsibility

Viridel is local-first: your data is stored on your device (localStorage/IndexedDB). You are solely responsible for backing up your data. We are not liable for data loss from device failure, cleared caches, uninstallation, or OS updates. If you use the optional Plus cloud sync, we make commercially reasonable efforts to secure it but do not guarantee against loss or interruption.

9. Third-Party Services

Viridel depends on Google (OAuth), Supabase (cloud sync), and Dodo Payments (Merchant of Record), each governed by its own terms. We rely on these providers but do not control them and are not liable for their outages or actions.

10. Availability

We aim for high availability but do not guarantee uninterrupted service. Local-first design means the free web and native apps continue working offline for local data even if sync or auth is temporarily unavailable.

11. Suspension & Termination

We may suspend or terminate accounts for material Terms violations, illegal activity, or attempts to damage the service. Lifetime licenses will not be revoked except for material, intentional misuse (e.g. reselling credentials, fraud, illegal activity), and we will give notice and a chance to cure where practicable. You may stop using Viridel or delete your account at any time.

12. Disclaimers

Viridel is a personal finance and budgeting app. It helps you track expenses, budgets, bills, subscriptions, income, savings goals, and related money calendar events. It does not guarantee financial outcomes and is not financial, tax, investment, or legal advice. Viridel is not a bank, broker, payment processor for your bank accounts, or open-banking provider. Do not enter data you are not allowed to store on a consumer device.

The Service is provided "AS IS" / "AS AVAILABLE." Viridel disclaims all warranties, express or implied (merchantability, fitness, non-infringement), and does not warrant uninterrupted, error-free, or fully secure operation.

We are not liable for failures of third-party platforms (Google, Apple, Google Play, Supabase, Dodo, hosting/CDN providers) or for force-majeure events beyond reasonable control. If we permanently discontinue Viridel Plus, we will stop charging and give reasonable notice so you can export; Lifetime is not a cash-refundable product if the company or apps later shut down — your local exports remain yours.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Viridel and its founder shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, use, or goodwill — arising from your use of, or inability to use, the Service, or from any errors in financial calculations, reminders, or data. In no event shall Viridel's aggregate liability exceed the greater of the amount you paid in the 12 months preceding the claim, or thirty-nine U.S. Dollars (€39.00).

14. Indemnification

You will indemnify Viridel against claims arising from your content, your misuse of the service, or your violation of these Terms or law, except to the extent caused by our wilful misconduct.

Viridel will indemnify you against a third-party claim that the service, used per these Terms, directly infringes that party's IP — your sole and exclusive remedy for any such claim — subject to standard exclusions (modification, combination use, continued use after notice, your content, your violations) and the liability cap above. If the service is found to infringe, Viridel may obtain a right to continue, modify it to be non-infringing, or terminate the affected license. Cash refunds are not offered; see the Refund Policy.

15. Modifications to the Service

We may change features over time. We will not materially reduce Lifetime-licensed app access without a good-faith alternative or notice. Optional cloud features may evolve with provider changes.

16. Changes to These Terms

We may update these Terms. Material changes will be notified by email and/or in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the service and delete your account.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute shall be brought exclusively in the competent courts of Secunderabad, Telangana, India, and you consent to that jurisdiction.

To the extent permitted by law, claims must be brought within one year of accruing unless a longer period is mandatory.

18. Mandatory Arbitration + Class-Action Waiver

Read carefully — this affects your rights. (a) Disputes are resolved by binding individual arbitration in Secunderabad, India, not in court. (b) Class-Action Waiver: proceedings are individual only — never class, consolidated, or representative; jury trial is waived. (c) Exceptions: either party may use small-claims court in Secunderabad for qualifying claims; Viridel may seek injunctive relief to protect its IP.

Nothing in this section limits non-waivable consumer protections, venue rights, or mandatory alternative dispute-resolution rights that cannot be waived under the laws of your country of residence (including EEA/UK consumer ADR where applicable).

19. Export & Sanctions

You confirm you are not located in, or a national or resident of, any country subject to comprehensive sanctions by the US, EU, UK, or India (including Cuba, Iran, North Korea, and Syria), are not on any sanctions or denied-party list, and will not use the service in violation of any export or sanctions law.

20. Miscellaneous

If a provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver. These Terms (plus incorporated policies) are the entire agreement. Assignment by you requires our consent; we may assign in a merger or sale. English controls if translations conflict.

21. Confidentiality

Non-public operational details shared in support channels are confidential for three years after disclosure, except information that is public, independently developed, or required by law.

22. Survival

Sections on Ownership, Your Data (including Local-First Data Responsibility and accrued obligations), Payment & Refund obligations already accrued, Disclaimers, Limitation of Liability, Indemnification, Modifications, Governing Law & Jurisdiction, Mandatory Arbitration + Class-Action Waiver, Export, Miscellaneous, Confidentiality (for three years), and this Survival section survive termination.
